Technical Due Diligence for Investors: A Framework for Evaluating Engineering Teams

As a startup investor through Supercharged and a technology executive who has been on the receiving end of due diligence at five companies, I have seen technical evaluation from both sides. The gap between how investors evaluate engineering and what actually predicts success is enormous.

Most technical due diligence focuses on the wrong things. Investors obsess over technology choices (React vs. Vue, AWS vs. GCP) while ignoring the factors that actually determine whether an engineering team can execute: organizational health, delivery velocity, and technical debt trajectory.

This article is the framework I use when evaluating engineering teams for investment decisions in the $25K-$100K range at Supercharged, as well as the framework I recommend to larger funds that bring me in for deeper technical diligence.

The 5 Pillars of Technical Due Diligence

Pillar 1: Architecture

Architecture evaluation is not about whether they chose the "right" stack. It is about whether their architecture supports their current and next-stage needs. Here is what I assess:

  • Fitness for purpose. Does the architecture match the scale they are operating at? A 3-person startup running Kubernetes is over-engineered. A 100K-user product running on a single server is under-engineered. Both are red flags.
  • Separation of concerns. Are services and components logically separated? Can teams work independently without stepping on each other?
  • Data architecture. How is data stored, accessed, and protected? Is there a clear data model? Are backups and disaster recovery in place?
  • Scalability headroom. Can the system handle 10x current load with configuration changes (good) or does it require a rewrite (bad)?

Key question to ask

"Walk me through what happens when your traffic doubles overnight. What breaks first, and what is your plan?" If the CTO cannot answer this clearly, the architecture is not well understood by the team that built it.

Pillar 2: Team

The team is more predictive of success than the technology. I evaluate:

  • Team composition. Is the seniority mix appropriate? A team of all junior engineers is a risk. A team of all senior engineers suggests a hiring or retention problem with growth-stage talent.
  • Retention and tenure. What is the average tenure? High turnover in engineering is the strongest signal of organizational dysfunction.
  • Hiring pipeline. Can they attract talent? How long does it take to fill a role? What is their close rate on offers?
  • Bus factor. How many critical systems are understood by only one person? A bus factor of 1 on a core system is an existential risk.
  • CTO/VPE capability. Does the technical leader have experience at the next stage of scale? A first-time CTO who has managed 5 engineers and is about to manage 25 needs support — not a red flag per se, but a risk to mitigate.

Pillar 3: Process

Process reveals maturity. I look for:

  • Deployment frequency. How often do they ship to production? Daily is good. Weekly is acceptable for complex products. Monthly or less is a warning sign.
  • Code review practices. Are pull requests reviewed before merging? By how many people? Is feedback substantive or rubber-stamp?
  • Testing strategy. Do they have automated tests? What is the coverage? More importantly, do they run in CI and actually gate deployments?
  • Incident response. What happens when something breaks? Is there a documented process? Can they walk me through their last major incident and how they handled it?
  • Sprint cadence and planning. Some form of structured planning and retrospection should exist by Series A. The absence of any delivery framework at 10+ engineers is a concern.

The best signal: ask to see their last 3 sprint retrospectives. If they do not do retrospectives, that tells you something. If they do, the content tells you whether the team has a culture of continuous improvement.

Pillar 4: Technical Debt

Every company has technical debt. The question is whether they know about it, have a plan for it, and are managing it intentionally.

  • Acknowledged vs. hidden debt. Can the CTO articulate the top 5 technical debt items and their impact? If they claim there is no debt, they are either lying or unaware — both are worse than having debt.
  • Debt trajectory. Is the debt growing, stable, or shrinking? A team that allocates 15-20% of capacity to debt reduction is healthy. A team that allocates 0% is accumulating risk.
  • Impact on velocity. Ask: "What would ship faster if you could eliminate your biggest piece of technical debt?" The answer reveals both the magnitude of the problem and the team's strategic thinking.
  • Dependency health. Are their third-party dependencies maintained? Outdated frameworks and libraries are a hidden form of debt that compounds security risk.

Pillar 5: Security

Security assessment scales with the sensitivity of the data and the stage of the company. At minimum, I evaluate:

  • Authentication and authorization. Are they using industry-standard practices? Are API endpoints properly secured? Is there role-based access control?
  • Data protection. Is sensitive data encrypted at rest and in transit? Are PII handling practices compliant with relevant regulations?
  • Infrastructure security. Are production credentials properly managed (not hardcoded)? Is there network segmentation? Are there access logs?
  • Security incident history. Have they had a breach? How did they handle it? A well-handled incident is not a red flag — a poorly-handled one or denial of any risk is.

Red Flags That Kill Deals

In my experience, these are the findings that should give investors serious pause:

  1. No version control or code review process. In 2026, this is inexcusable at any stage. If code goes directly to production without review, the risk profile is unacceptable.
  2. Single point of failure on a critical system. One engineer who is the only person who understands the billing system, the data pipeline, or the core algorithm. If that person leaves, the company is in crisis.
  3. CTO who cannot explain the architecture. If the technical leader cannot draw the system on a whiteboard and explain the tradeoffs, they either did not build it or do not understand it. Either way, that is a leadership problem.
  4. Zero automated testing on a product with users. Manual QA is acceptable for an MVP. Once you have paying customers, the absence of automated testing means every deployment is a gamble.
  5. Engineering turnover above 30% annually. High turnover in engineering is almost always a leadership or culture problem. It also means the team is perpetually in onboarding mode, which kills velocity.
  6. Technical debt acknowledged but never addressed. If the last 4 quarters of planning show no allocation for debt reduction, the team is choosing short-term speed at the expense of long-term viability.

Green Flags That Signal Engineering Excellence

These findings increase my confidence significantly:

  1. The team can deploy to production in under an hour. This implies CI/CD maturity, automated testing, and operational confidence.
  2. Engineers at multiple levels can articulate the technical strategy. When not just the CTO but individual contributors can explain why the architecture is what it is and where it is going, the strategy has been effectively communicated.
  3. There is a written document for the last major technical decision. This signals a culture of thoughtful, documented decision-making rather than ad-hoc choices.
  4. They can show me their incident postmortem process. Blameless postmortems indicate a learning culture. The content of the postmortems reveals the depth of their technical analysis.
  5. The CTO talks about what they got wrong. Self-awareness and intellectual honesty in technical leadership is one of the strongest predictors of long-term success.

The 2-Hour vs. 2-Week Evaluation

The depth of technical due diligence should scale with the investment size and stage:

The 2-Hour Assessment (Seed, $25K-$100K)

For smaller investments, you cannot justify 40 hours of diligence. Here is my 2-hour framework:

  1. 30 minutes: CTO conversation. Ask about architecture, team, biggest technical risk, and what would break at 10x scale. Listen for clarity, honesty, and strategic thinking.
  2. 30 minutes: Code and repo review. Look at commit history (is work distributed across the team?), PR review practices, test coverage, and code quality. You can learn a lot from 30 minutes in a codebase.
  3. 30 minutes: Talk to an engineer (not the CTO). Ask about their development workflow, what frustrates them, and what they would change. The gap between what the CTO says and what the team experiences is the most revealing data point.
  4. 30 minutes: Write your assessment. Summarize findings across the 5 pillars with a red/yellow/green rating for each.

The 2-Week Assessment (Series A+, $500K+)

For larger investments, a comprehensive assessment covers:

  • Deep architecture review with system diagrams and load testing data
  • Individual conversations with 3-5 engineers at different levels
  • Security assessment (potentially with external tools)
  • Review of deployment and incident history for the past 6 months
  • Evaluation of technical roadmap against business plan
  • Assessment of CTO/VPE capability for the next stage of growth
  • Written report with specific risk mitigations and recommendations

Questions to Ask the CTO/VP Engineering

These are the questions I ask in every technical due diligence conversation, ranked by how much they reveal:

  1. "What is your biggest technical risk right now?" — Tests self-awareness and honesty. A CTO who says "nothing" is either naive or dishonest.
  2. "Walk me through your last production incident." — Reveals operational maturity, culture (blame vs. learning), and technical depth.
  3. "How do you decide what to build next?" — Shows the relationship between engineering and product. Healthy teams have a collaborative process. Unhealthy teams have a top-down mandate or no process at all.
  4. "What would you rebuild if you could start over?" — Reveals the magnitude and nature of technical debt.
  5. "How long does it take a new engineer to ship their first feature?" — Measures onboarding effectiveness and codebase accessibility. Under 2 weeks is excellent. Over a month is concerning.
  6. "What is your deployment frequency and how has it changed?" — Trends matter more than absolutes. Increasing frequency indicates improving process. Decreasing frequency indicates growing pain.

Reading Between the Lines of a Technical Roadmap

Technical roadmaps are often the most misleading artifact in a pitch deck. Here is how to read them critically:

  • Count the features vs. the team size. If the roadmap shows 20 features for the next quarter with 5 engineers, either the features are trivial or the roadmap is aspirational fiction.
  • Look for infrastructure work. A roadmap that is 100% features and 0% infrastructure, testing, or debt reduction is a team that is sprinting toward a cliff.
  • Check for dependencies. If features require third-party integrations, platform launches, or regulatory approvals, are those dependencies called out and risk-managed?
  • Ask about what was cut. The features that were deprioritized reveal the team's strategic thinking as much as the features that were kept.

What Investors Consistently Miss

Having been on both sides — the executive being evaluated and the investor doing the evaluation — here are the blind spots I see most often:

  1. Team health matters more than technology choices. A great team on a mediocre stack will outperform a mediocre team on a great stack every time. Evaluate the humans first.
  2. Velocity trends matter more than current velocity. A team shipping slowly but accelerating is healthier than a team shipping fast but decelerating.
  3. The CTO's next-stage readiness. A brilliant engineer who has never managed more than 5 people will struggle at 20. Factor in whether leadership can grow with the company.
  4. Operational maturity. Can the team handle an outage at 2 AM? Do they have monitoring? Alerting? Runbooks? This is boring but critical.
  5. Documentation. If the entire system is documented only in one person's head, every departure is a knowledge loss. Check for written architecture docs, onboarding guides, and decision records.
